Genomic testing company GeneDx said it will acquire AI-powered genomic interpretation company Fabric Genomics, in a move the company says will open global market opportunities with on-site sequencing and decentralized interpretation.
Under the terms of the deal, GeneDx will pay up to $33 million in cash upon closing, with total consideration potentially reaching $51 million upon achievement of certain milestones.
GeneDx said as DNA sequencing continues to become more accessible, decoupling interpretation services from the physical reliance on a wet lab allows for more flexibility to integrate with provider and health system workflows globally.
Fabric Genomics has demonstrated its ability to scale complex interpretation services, and its advanced AI-driven platform has been used to diagnose challenging cases of genetic disease at some of the largest health systems, academic centers, and research institutions worldwide.
Health systems will be able to utilize GeneDx’s centralized lab or perform sequencing at their own institutions, then access the company’s data assets through Fabric Genomics’ AI-powered interpretation platform. The company believes this will accelerate faster and earlier diagnosis of genetic diseases, deliver improved patient outcomes, and reduce unnecessary costs for healthcare systems.
